EUROPEAN UNION (EU) AND UNITED KINGDOM (UK) ADDENDUM

In addition to the terms of our policy above, the terms contained in this addendum applies to those persons who are residents of and/or access our Website or Services within the EU and UK.

FURTHER INFORMATION FOR RESIDENTS OF THE EU AND UK

Personal Information may be transferred to our Website servers and/or third-party processors or subcontractors that are located outside of Canada and into the United States of America. Where possible, we strive to use website hosting service providers who actively participate(s) in the EU-U.S. and Swiss-U.S. Privacy Shield framework.

Legal Basis for Processing. As described above, our processing (i.e., collection and use) of your personal information is based on one of a number of legal conditions. Generally, these include: (i) your consent; (ii) the performance of a contract with you; (iii) compliance with a legal obligation (for example, where we are required to disclose personal information to a court or a tax authority); and (iv) our legitimate interests, provided these do not override your fundamental rights and freedoms (for example, where we carry out research and analysis to improve our Website and Services).

Rights of UK and EU Residents. Subject to applicable law, as a resident of the UK or the EU, you may have certain rights with respect to your personal information. These rights may include some of the following:

In addition to the above, you have the right to lodge a complaint with your local supervisory authority, depending on where you have your habitual residence or place of work, or where an alleged infringement of applicable data protection law occurs (for example, the Information Commissioner’s Office in the United Kingdom, contactable at www.ico.org.uk). For the European Economic Area (“EEA”), a list of data protection authorities is available at https://edpb.europa.eu/about-edpb/about-edpb/members_en.

Exercising Your Rights. If you would like to exercise any of the rights described above, please submit a request using the contact details listed below. Please note we will request proof of your identity, and verify such identity, in order to protect your personal information and ensure compliance with all applicable regulations and policies. In some cases, we may limit or deny requests where permitted or required by law. For example, except where disclosure is required by law, we may decide not to grant access or make revisions where the burden or expense of providing access would be disproportionate to the risks to the individual’s privacy in any given case, or when the rights of others would be violated by granting the access. Additionally, we may deny a request if we are unable to adequately verify your identity. We reserve the right to charge a fee where permitted by law, including for example, if your request is manifestly excessive or unfounded. We will respond to your requests within the applicable timeframes and consistent with applicable regulations.

International Transfers for UK and EU Residents. Our company is based in Ontario, Canada. As part of the operation of our Website and provision of Services, your personal information may be transferred to and stored in the United States for processing. Additionally, any personal information that you provide to or that is collected by or on behalf of us may be transferred or accessed by entities around the world consistent with the practices described within this privacy policy. The privacy laws in these countries may be less stringent than the laws in your country of residence. In relation to service providers or suppliers, for personal information that is transferred outside of the UK and the EEA, we rely on adequate measures (such as the EU Commission-approved Standard Contractual Clauses), which give personal data the same protection it has in the UK and the EEA. If we send your personal information to Canada it is protected under Canadian law, which the European Commission has found will adequately protect your information. You may have a right to request additional details about the mechanisms under which your data is transferred outside of the UK and the EEA. If you would like more information concerning our attempts to apply the privacy principles applicable in one jurisdiction to data when it goes to another jurisdiction you can contact us using the contact information below.

Complaints. If you are an EU resident, you have the right to complain to a supervising authority if you believe we are misusing your personal information or have violated any of your rights under this privacy policy or applicable law. You may do so in the EU member state in which you reside or have your place of business or in which the alleged infringement took place. If you are located outside the EU, you may have rights under privacy laws in the jurisdiction where you reside.

In addition to the terms of our policy above, the terms contained in this addendum applies to those persons who are residents of and/or access our Website or Services within the US. Our privacy policy is subject to all applicable US state and federal law regarding privacy and information sharing.

State privacy laws require a reasonably accessible, clear, and meaningful privacy notice that includes, among other items, (i) the categories of Personal Data processed, (ii) the purposes for processing, (iii) how consumers may exercise their rights (including appeals), (iv) the categories of Personal Data shared with third parties, and (v) the categories of third parties with whom Personal Data is shared.

Those disclosures are provided in the main body of this privacy policy (including any sections titled or addressing “Information We Collect About You”, “How We Collect Information About You”, “How We Use Your Information”, and “Disclosure of Your Information”). This Addendum is intended to provide U.S. state-law rights, opt-out mechanics, and disclosures, and it supplements, and does not replace, the disclosures required in the main body of this privacy policy. In the event this addendum and the privacy policy conflict in any way in relation to persons who are residents of and/or access our Website or Services within the US, this addendum shall control.

We will not discriminate against you because you have exercised any of your rights under your applicable state laws. Certain state laws may also provide you with the right to appeal our decisions regarding your rights requests if we do not respond to your requests or do not take action regarding your requests.

If you are a resident of Virginia, Colorado, or Connecticut, we will not process your Sensitive Data (as that term is defined under the Virginia Consumer Data Protection Act, the Colorado Privacy Act, and the Connecticut Act Concerning Personal Data Privacy and Online Monitoring) without your prior consent. This privacy policy constitutes our privacy notice to you under such applicable law. Your access and/or use of the Website or Services is permitted only on condition of your agreement with this privacy policy. This privacy policy does not extend to any website other than our Website, including any website or service you may access by clicking on our Website’s links, or any other party’s use of your personal information other than us. We reserve the right, in our sole discretion, to modify, discontinue, or terminate any element of the Website or to modify this privacy policy at any time, without notice to you. Any modifications will be effective as of the date of its posting to our Website. Your continued use of our Website or Services thereafter constitutes your assent to such revised privacy policy.

For Virginia residents, we will respond to an appeal within sixty (60) days of receipt and will inform you in writing of any action taken or not taken in response to the appeal, including a written explanation of the reasons for the decision. If your appeal is denied, we will provide you with method through which you may contact the Virginia Attorney General to submit a complaint.

We are required to provide you with access to your Personal Data or delete your Personal Data only in response to verifiable consumer requests. You may be asked to provide us with information such as your name, email address, and telephone number in order to verify your request. If you request that we provide you with specific pieces of information about you, or that we delete sensitive Personal Data, we may apply heightened verification standards. The information you provide to us must match the information we have in our possession. This measure is in place to help ensure that Personal Data is not disclosed to any person who does not have the right to receive it. The information collected through this process will be used for verification purposes only.

Categories of Personal Data Disclosed for a Business Purpose.

We may share Personal Data about you with service providers and third parties for business purposes, such as operational purposes and other purposes related to providing you with the services you seek from us.
